ALROSA’s corporate governance system ensures guaranteed protection of the shareholders’ rights and interests, creation and maintaining trust-based relations between the Company and its investors and stakeholders.

The Code of Corporate Governance is the main internal instrument determining ALROSA’s corporate governance principles.

The General meeting of shareholders is the highest management body of the company, acting on the basis of Russian legislation, the Charter and the Regulations on the General meeting of shareholders of ALROSA.

Risk Management

To ensure the Company’s sustainable development despite the uncertainties and constant changes to the external environment, ALROSA strives to continuously improve the effectiveness of the risk management system.

Risk management at ALROSA is a consistent and systemic process taking place at all levels of the Company and integrated with key business processes, focused on improving the quality of management decisions. The Company identifies, monitors, analyzes, assesses and responds to risks on an ongoing basis, including through systemic planning of measures to reduce the level of risks and ensure control over their implementation.

Internal regulatory documents were drafted with due account of the requirements of international risk management guidelines (including COSO ERM and ISO 31000:2018) and the demands and recommendations of national regulators, and determine the structure of and procedure for organizing the risk management system (RMS). In particular, they establish the principles, goals and objectives, common terminology, key elements, functions and roles of participants in the risk management process, as well as the main stages of the risk management process, distribution of roles, functions, authorities, responsibilities and cooperation within the RMS.

ALROSA has NRCG 8+ rating “Developed Corporate Governance Practice”, assigned by the Russian Institute of Directors. It is one of the highest ratings among all Russian companies.

ALROSA is on top of the rating of implementation of the Corporate Governance Code (KKU) among the largest companies partially owned by the government. The Company introduced and complies with the majority of the Corporate Governance Code recommendations.
